Terms of Service

BeautyRightBack Corp, a Delaware corporation, ("With Rose", "we," "us," or "our") operates a platform that enables "Creators" to share and monetise their own content via AI messaging, and "Fans" to message and engage with Creators via iMessage / SMS / RCS (collectively with the Site, the "Services"). These Terms of Service ("Terms") apply to your access and use of the Services provided by With Rose.

By registering with With Rose or accessing or using the Services, you hereby accept and agree to be bound by and abide by these Terms. If you do not want to agree to these Terms or do not meet or comply with its provisions, you must not use or access the Services.

Rose provides a platform that enables content creators ("Creators") to maintain SMS-based messaging relationships with their audience ("Fans"). The platform includes:

• AI-augmented messaging that reflects each Creator's configured persona
• SMS, iMessage, and RCS message delivery via third-party providers
• Gated content sales and delivery via Stripe payment processing
• Creator dashboards for conversation management and analytics
• Fan settings for managing messaging preferences and privacy

Creators must register with a valid email address or social login. Creators are responsible for the AI persona they configure, including system prompts, tone, and content boundaries.

Fansmust verify their phone number via one-time passcode. Fans initiate messaging relationships by sending the first text message to a Creator's assigned number. By sending this first message, fans consent to receiving automated and AI-generated responses.

By texting a Creator's number, you consent to receive automated messages, including AI-generated responses. Standard messaging rates from your carrier apply. You may opt out at any time by:

• Using the opt-out controls in your Fan settings
• Contacting us at the email address below

Opting out will immediately stop all messaging from that Creator. Your conversation history will be retained for 90 days, after which it will be permanently deleted.

Creators may offer gated content (images, videos, audio, documents) for purchase. All payments are processed by Stripe. Prices are set by Creators and displayed before purchase. All sales are final unless the content is not delivered, in which case a refund will be issued within 14 business days.

a. Payment Processing: You acknowledge and agree that our Services rely on third-party payment processors to facilitate transactions (including processing Content Payments and paying out Content Earnings). You authorize us to supply your payment card details to third party payment processors for purposes of processing payments on our Services. Your payment card provider may charge you currency conversion fees. We do not have control over currency exchange rates or charges imposed by your payment card provider or bank and we and our subsidiary companies will not be responsible for paying any charges or fees imposed by your payment card provider or bank. In the event that our payment processors experience technical issues or delays in processing payments, Users may experience delays in receiving funds. Availability of payout or withdrawal functionality is subject to operational readiness, compliance review, and third-party payment processor requirements and may be restricted or unavailable. We disclaim any liability for delayed payments or issues arising from the performance or failure of our payment provider(s). If you make a purchase that results in a chargeback, we may immediately suspend or terminate your account.

b. Refunds: Purchases, Content Payments, and/or other fees associated with your account are final and nonrefundable to you. However, we reserve the right to address any refund request and issue refunds in appropriate cases, within our sole discretion. If we determine that a chargeback or refund request was made by you in bad faith, we have the right to suspend or delete your User account.

c. Chargebacks and Fraud: If a Fan disputes a transaction or initiates a chargeback, we reserve the right to withhold, reverse, or recover any amounts corresponding to that transaction, including by offsetting against future Content and Messaging Earnings. Creators are solely responsible for chargebacks and fraudulent transactions related to their User Content, regardless of the reason or timing. We may suspend or terminate accounts with excessive or suspicious chargeback activity, and we may cooperate with payment processors, banks, and law enforcement in investigating fraud.

d. Fan–Creator Transactions:

i. For the purposes of these Terms, a "Creator Interaction" is any interaction on the Services that grants access to a Creator's Content, including: (i) messaging (ii) a payment for Creator Content; and (iii) any other interaction or payment between a User (including a Fan) and a Creator's account or Creator Content.

ii. Although we facilitate dealings between Fans and Creators by providing the Services, we are not involved in any Creator Interactions or other dealings or contracts which may exist between a Fan and Creator. Creator Interactions are governed by the agreement between a Fan and Creator relating to subscriptions or purchases of Creator Content and any Creator Interactions (a "Fan-Creator Agreement"). Creators are solely responsible for determining (within the parameters for pricing on the Services) the pricing applicable to their Creator Content.

To protect our Users and comply with applicable law, With Rose requires all Users to be at least 18 years old. We may work with other commercial partners to support our age and identity verification process, which may include submission of government-issued identification, biometric data, or other documentation, before accessing certain Services. We may suspend or terminate your account, and remove or disable access to any content, if we suspect or determine that you have failed or refused to complete verification, provided false or misleading information, or may be under the age of 18. We have a zero-tolerance policy for child sexual abuse material ("CSAM") and other forms of exploitation, and will report any suspected violations to law enforcement, including the National Center for Missing and Exploited Children (NCMEC) or equivalent authorities.

We collect and process personal data as described in our Privacy Policy. Key data practices include:

• Phone numbers are used solely for message delivery and are stored in masked form in dashboards
• AI systems may extract and store conversational context (topics discussed, preferences mentioned) to improve future responses
• Conversation data is never sold to third parties
• Creators can view conversation logs but cannot export raw phone numbers

Users may not:

• Attempt to manipulate AI responses through prompt injection or social engineering
• Use the platform to harass, threaten, or harm other users
• Impersonate another person or misrepresent their identity
• Distribute illegal content or content that violates third-party rights
• Attempt to circumvent safety filters or content moderation
• Use automated systems to send bulk messages to Creators
• No content involving minors in any form, including digitally generated or AI-simulated
• No non-consensual content (real or simulated)
• No content that depicts or facilitates trafficking, coercion, or exploitation
• Creators must not configure AI personas to simulate minors under any circumstance

Rose provides the Service "as is" without warranties of any kind. We are not liable for AI-generated content that may be inaccurate, inappropriate, or inconsistent with a Creator's intended persona. Creators are responsible for reviewing flagged messages and configuring appropriate safety boundaries.

a. To use With Rose as a Fan, you must:

• Initiate messaging with a Creator
• be 18 years old or over;
• be able to be legally bound by a contract under the laws of the country or State/province where you reside; and
• provide such other information or documents to verify your age as we require.

b. If you do not meet these requirements, you must not access the Services. With Rose prohibits all persons who do not meet these requirements from accessing the Services.

c. If you intend to send messages to a Creator, you will need to add a valid payment method.

d. Your subscriptions or purchases of Creator Content and Creator Interactions will be subject to the Fan-Creator Agreement.

a. Messaging:You will be charged at a per-message rate that may vary depending on creator. You may not copy, record, redistribute, resell, or publicly display any Creator Content without the Creator's express written consent. If you message a Creator, you hereby authorize us to automatically charge the payment method on file for the messaging.

b. Purchases & Tips: Fans who have added a valid payment method to their account may, in some instances, purchase Creator Content a la carte or tip the Creator (including purchases conducted through any messaging functionality within the Services). If you purchase content a la carte or tip a Creator, you hereby authorize us to automatically charge the payment method on file for the content.

c. Taxes: If With Rose or any of our affiliates is required to collect or pay any taxes in connection with your purchase of a paid service, those taxes will be charged to you at the time of each purchase transaction. Additionally, if required by law, you are responsible for reporting and paying certain taxes in connection with your purchase and/or use of a paid service. These taxes may include duties, customs fees, value-added tax, or other taxes (other than income tax), along with any related penalties or interest, as applicable to your purchase or country of purchase.

a. To register and create an account on With Rose as a Creator, you must:

• complete the Creator registration process and be approved by With Rose in our sole and absolute discretion;
• provide a valid email address, a username, and a password, or authenticate using a valid Apple or Google account;
• be able to be legally bound by a contract under the laws of the country or State/province where you reside; and
• provide such other information or documents to verify your age as we require.

b. If you do not meet these requirements, you must not access the Services. With Rose prohibits all persons who do not meet these requirements from accessing the Services.

c. You will need to add a verified bank account for payouts. Additionally, you will need to submit any additional legal information as required. Your earnings will be paid into your designated bank account via one of our payout processors. It is the Creator's responsibility to ensure the correct bank details are provided. Failure to do so may result in delayed or lost funds, and we are not responsible or liable for any delays or lost funds due to errors in providing bank details to us.

You must successfully complete With Rose's age and identity verification process (as outlined in the General Terms) before publishing or selling any content. Providing false or misleading information during verification is grounds for immediate suspension or termination of your account and forfeiture of any unpaid earnings.

a. We make no promises or guarantees of any kind that Creators will make a particular sum of money (or any money) from their use of the Services.

b. Subject to any promotional program, we charge a fee to Creators of fifteen per cent (15%) of all Content Payments, and fifty per cent (50%) of all Messaging Payments made by Fans to Creators. Earnings will only be available for withdrawal when reflected in your Creator account. To withdraw Content Earnings from your account, your account balance must meet a minimum payout amount requirement of $25.00 USD.

c. Creators are responsible for their own tax compliance and neither we nor any of our affiliates are (i) responsible for advising you on your tax compliance or liable for any general tax information provided or made available by us through the Services or any support, or (ii) liable for any Creator's non-payment of taxes.

d. Creator acknowledges and agrees that With Rose may deduct from Content Earnings any amounts subject to chargebacks, refunds, or fraudulent transactions. If funds have already been paid out, Creator authorizes With Rose to recover such amounts from future payments or by other lawful means.
